| Frederick J. Bagley has extensive correctional management experience in both the public and private sectors. Mr. Bagley has significant hands-on operational experience as well as considerable experience in planning and bringing on-line new jail and prison operations. During his career he has also worked with Federal, State, County and City Governments on correctional expansion projects. He has had numerous senior management assignments in correctional facilities including warden and deputy warden. |

| Mr. Bagley started his career in corrections as a U.S. Army Military Police Officer. He served as Deputy Warden at the Maximum Security Military Prison at Fort Leavenworth, Kansas and Warden of the Medium Security Prison at Fort Riley, Kansas. Mr. Bagley’s Military Police assignments also included Inspector General and Operations Manager for the U.S. Army Criminal Investigation Command. |

| After a successful career in the US Army, he joined a private corrections corporation serving as Senior Vice President responsible for 16 secure facilities located in seven states. He has successfully started-up a total of 10 new correctional facilities and assumed operational oversight of four existing jails. Most notably he was involved in the start-up and operational oversight of a 1200-bed medium security for men in Colorado and an 850-bed medium security facility for women in Oklahoma. His expertise includes security and detention operations, personnel recruitment and training, security operations, budget management, food service, and medical support. He has had daily responsibility of operations and control of 7500 inmates and 1500 staff members. Working with numerous government entities involving inmates from many different states and security levels, Mr. Bagley has gained valuable insight into what makes correctional projects successful. |

| Mr. Bagley also possesses extensive experience in the development and implementation of ethics and compliance programs. He has served as a corporate ethics and compliance officer. He has conducted ethics training for corporate management and developed unique techniques to maintain ethical conduct in the workplace. He has conducted numerous compliance inspections and ethics investigations. |

| Mr. Bagley holds a BS in Business Administration from the State University of New York at Albany and is a graduate of the Army Command and General Staff College and Army Inspector General School. |
